1. Agreement
These Terms of Service ("Terms") form a binding agreement between you ("you", "Customer") and Singularity Engineering AS, a Norwegian company operating the Leide brand ("Leide", "we", "us"), governing your use of the Leide platform at leide.ai and related services (the "Service"). Final entity registration details will be confirmed in the finalised Terms.
By creating an account, signing in, or using the Service you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation, and "you" refers to both you and that organisation.
2. The Service
Leide provides an AI engineering platform for offshore and maritime professionals. Features include:
- An AI Navigator that returns clause-referenced answers to engineering questions.
- A Drawing Checker that reviews technical drawings and surfaces potential findings.
- Engineering calculators for pipe flow, bolt torque, weld sizing, pressure vessels, and padeyes.
- Project management tools for assets, certificates, and team collaboration.
We continually improve the Service; specific features, models, and performance characteristics may change. We will not remove materially significant paid features without reasonable notice.
3. Accounts & eligibility
You must be at least 16 years old and capable of entering a binding contract. You are responsible for:
- Keeping your credentials confidential.
- All activity under your account.
- Notifying us promptly at hello@leide.ai if you suspect unauthorised access.
Team accounts may have an owner who manages membership and billing. Owners are responsible for the conduct of invited members within their workspace.
4. Acceptable use
You agree not to use the Service to:
- Violate applicable laws or regulations.
- Upload or process content you do not have the right to use.
- Attempt to extract, reverse-engineer, or redistribute the underlying AI models, embeddings, or proprietary clause corpus.
- Probe, scan, or test the vulnerability of our infrastructure without prior written permission, except in the context of the responsible-disclosure guidelines described in our Privacy Policy.
- Upload malware, or content that is unlawful, harassing, or infringes third-party rights.
- Use the Service to build a competing AI engineering product.
- Circumvent usage limits, rate limits, or access controls.
We may suspend or terminate accounts that violate these rules. Severe or repeated violations may result in immediate termination without refund.
5. AI output & engineering responsibility
Leide is a productivity tool, not a substitute for engineering judgement. The Service produces AI-generated outputs, compliance reviews, and calculator results that are intended to accelerate engineering workflows. All outputs must be reviewed and verified by a qualified engineer before use in design, construction, procurement, or safety-critical decisions.
Specifically:
- The Drawing Checker surfaces potential issues for human review. It does not make accept/reject decisions. Findings may include false positives, false negatives, or misinterpretations.
- The AI Navigator returns clause-referenced answers, but you must verify every answer against the original standard before relying on it.
- Engineering calculators implement published formulas with documented assumptions. You remain responsible for the validity of the inputs and the suitability of the formulas for your application.
- Final engineering responsibility always rests with the responsible engineer, not with Leide.
6. Intellectual property
Your content
You retain all rights to the drawings, queries, calculations, and project content you submit ("Customer Content"). You grant Leide a limited, worldwide, royalty-free licence to process Customer Content solely to provide and improve the Service to you. We do not use Customer Content to train AI models for third parties.
Our platform
The Service, including software, UI, documentation, clause corpus, and trade marks, is owned by Leide or its licensors and is protected by intellectual-property laws. Nothing in these Terms transfers ownership to you.
Output
Subject to your compliance with these Terms, you may use AI-generated outputs for your internal engineering purposes and for lawful external deliverables, provided that you verify the outputs and remain the responsible engineer.
7. Subscriptions, trial, and billing
- Free trial. New accounts receive a 14-day free trial with feature allowances. No credit card is required to start.
- Paid plans. Subscription fees are shown on the pricing page and are billed in advance (monthly or annually). Fees are exclusive of VAT unless stated otherwise.
- Automatic renewal. Subscriptions renew automatically at the end of each term unless cancelled before the renewal date from your account settings.
- Cancellation. You may cancel at any time. Access continues until the end of the current paid period; fees already paid are non-refundable except as required by law.
- Refunds. EU consumers may have statutory withdrawal rights. Business customers should contact hello@leide.ai for refund enquiries.
- Price changes. We may change prices with at least 30 days' notice, effective at your next renewal.
- Payment processing. Payments are processed by Stripe. We never see or store card numbers.
8. Service availability
We target high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance, push updates, or experience outages caused by third-party providers. We will try to minimise disruption and announce planned downtime in advance.
During early product phases some features may be marked "beta" or "preview"; these are provided as-is and may change without notice.
9. Disclaimers & limitation of liability
The Service is provided "as is" and "as available". To the maximum extent permitted by law, Leide disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or produce results that are correct or suitable for any particular use.
To the maximum extent permitted by law:
- Leide accepts no liability for any direct, indirect, incidental, consequential, special, punitive, or other damages arising out of or in connection with these Terms or the Service, including loss of profits, data, revenue, reputation, engineering work product, project delay, regulatory penalties, or third-party claims, even if Leide has been advised of the possibility of such damages.
- The Service is offered as a productivity aid only. The responsible engineer remains solely responsible for verifying every output and for the engineering decisions made on the basis of the Service. By using the Service you accept that any reliance on its outputs is at your own risk.
- Nothing in these Terms excludes or limits liability that cannot be excluded under mandatory Norwegian or EU law, including liability for gross negligence, intent, or personal injury caused by negligence. Where mandatory law imposes a minimum liability that cannot be waived, Leide's liability is limited to that minimum.
10. Indemnity
You agree to indemnify and hold Leide harmless from any claims, damages, or expenses (including reasonable legal fees) arising from (a) your violation of these Terms, (b) your Customer Content, or (c) your use of AI-generated outputs in engineering decisions, deliverables, or third-party representations.
11. Suspension & termination
We may suspend or terminate your account if:
- You materially breach these Terms and do not cure within 14 days of notice (or immediately for severe breaches).
- Required by law.
- Continued use poses a security or stability risk.
On termination, access is revoked and, after a 30-day grace period for data export, your Customer Content is deleted from our live systems (backups expire on their normal schedule). Clauses that by their nature survive termination — IP, liability, indemnity, governing law — continue to apply.
12. Data protection
Our handling of personal data is described in the Privacy Policy, which forms part of these Terms. For customers processing personal data on behalf of third parties using the Service, a Data Processing Agreement is available on request at hello@leide.ai.
13. Governing law & disputes
These Terms are governed by the laws of Norway, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Norwegian courts, with Oslo District Court as the agreed venue, unless mandatory consumer-protection law dictates otherwise for EU consumers.
14. Changes to these Terms
We may update these Terms as the Service evolves. Material changes will be announced by email to active account holders at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree, you may cancel your subscription and stop using the Service.
15. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and Leide.
- Severability. If any provision is held unenforceable, the remainder continues in full force.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control.
- No waiver. Failure to enforce any right is not a waiver of that right.
